EDGE MISSIVE PUBLISHING CONTRACT

This Contract is made and entered into as of the date set forth below by and between THE SCRIBE (hereinafter occasionally referred to as "The Guy Who Writes The Bullshit") and THE EDGE (hereinafter occasionally referred to as "The Poor Unfortunate Bastards Who Read The Bullshit").

I. AGREEMENT OF PARTIES

THE EDGE hereby hires THE SCRIBE to write weekly missives and miscellaneous spontaneous greetings , for the estimated total price of $250,000. THE SCRIBE agrees to provide mediocre content and to respond to THE EDGE's requests only if he feels like it.

The payment plan is outlined in section VII of this contract.

II. TERM

This contract shall commence upon the first payment, as outlined in the payment plan and shall remain effective until the services are completed and delivered.

III. LEGAL MATTERS AND COPYRIGHTS

THE EDGE hereby guarantees to THE SCRIBE that any elements of text, graphics, photos, trademarks or other artwork that THE EDGE provides either willingly or unwillingly for inclusion in any and all published works by THE SCRIBE are neither owned by them nor does THE SCRIBE have seek permission to use them.

Upon receipt of the final payment, the following copyright assignment shall automatically occur:

1. THE EDGE will not own the graphics, virtual elements, text content, photographs, and other data provided. THE SCRIBE has exclusive ownership rights.
2. THE SCRIBE reserves the right to display, without THE EDGE's consent, everything he pilfers as part of the portfolio.

IV. MODIFICATIONS

This contract may be modified by both parties in writing, however, THE SCRIBE will not agree to any modification that is not beneficial to him and him exclusively. All notices under this contract must be transmitted in writing by email and will only be effective upon confirmation of receipt.

V. TERMINATION

THE SCRIBE may terminate this contract at any time, effective immediately upon notice. THE EDGE has no such right of termination.

In the event of termination, THE SCRIBE shall be compensated for services performed through the date of termination in one of the following amounts, whichever is greater, together with any additional costs incurred trough and up to the date of cancellation:

1. any advanced payment,
2. a prorated portion of the fees due, or
3. hourly fees for work performed by THE SCRIBE at the time of the termination.

VI. FORCE MAJEURE

THE SCRIBE shall not be deemed in breach of this contract if he is unable to complete the services or any portion of them due to fire, earthquake, war, labor dispute, illness, internet breaches, or any other technical issues that are beyond his control. In the event of a force majeure, THE SCRIBE is under no obligation to give notice to THE EDGE of his inability to perform or of any delay in completing the services and is furthermore under no obligation to propose revisions to the schedule for completion.

VII. PAYMENT PLAN

Payments shall be made as follows:

• 100% of total estimated fee will be required to commence work as soon as the contract has been signed by THE SCRIBE

Any extra time required outside the project services mentioned in section I of this contract, will be billed at a rate of $1,000 per hour.
